⚑ These Terms are pending final attorney review. By using CHAD during beta, you agree to be bound by these terms as finalized.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Domus Anguiana LLC, a California limited liability company doing business as CHAD ("CHAD," "we," "us," or "our"), governing your access to and use of the CHAD SMS service, website at chaditup.com, and all related services (collectively, the "Service").

BY TEXTING ANY KEYWORD TO +1 (888) 302-5768, VISITING CHADITUP.COM, OR OTHERWISE USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

2. Eligibility

You must meet all of the following requirements to use the Service:

3. Description of Service

3.1 What CHAD Is

CHAD is an AI-powered SMS-based conversational assistant designed to provide dating conversation suggestions, social confidence coaching, motivational content, and related lifestyle guidance delivered via text message to your mobile phone.

3.2 AI Disclosure

IMPORTANT: CHAD is an artificial intelligence system, not a human. All responses are generated by AI technology. CHAD does not have subjective experiences, emotions, or consciousness. While CHAD is designed to be helpful and supportive, it cannot replace human judgment, professional advice, or genuine human connection. If you sincerely ask whether you are speaking with a human or an AI, CHAD will always disclose that it is an AI system.

3.3 Not a Professional Service

CHAD is not a licensed mental health service, medical service, legal service, or professional counseling service. Nothing in the Service constitutes professional advice of any kind. If you are experiencing a mental health crisis, please contact the 988 Suicide and Crisis Lifeline by calling or texting 988, or contact emergency services at 911.

4. SMS Communications and Consent

4.1 Express Written Consent

By texting any opt-in keyword (including START, CHAD, or JOIN) to +1 (888) 302-5768, or by providing your phone number and consenting to receive messages through our website, you expressly consent to receive recurring automated marketing and informational text messages from CHAD at the mobile number you provide. This consent is not a condition of any purchase. Message frequency varies by subscription tier. Message and data rates may apply.

You may opt out of receiving messages at any time by replying STOP to any message. Upon receipt of your STOP message, we will send a single confirmation and cease sending messages to your number. You may re-enroll at any time by texting START to the same number.

4.5 Carrier Disclaimer

CHAD is not sponsored, endorsed, or affiliated with any wireless carrier. Wireless carriers are not liable for delayed or undelivered messages.

5. Subscriptions and Billing

5.1 Subscription Tiers

5.2 Automatic Renewal

IMPORTANT NOTICE: Your paid subscription will automatically renew at the end of each billing period at the then-current subscription rate unless you cancel before the renewal date. Your payment method will be charged automatically at the start of each new billing period. To cancel, reply CANCEL or STOP to any CHAD message, or email hello@chaditup.com with your phone number.

5.3 Refunds

All subscription fees are non-refundable except as required by applicable law. If you cancel mid-period, you will retain access to paid features through the end of the current billing period.

5.4 Payment Processing

Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full payment card information on our servers.

5.5 Price Changes

We reserve the right to change subscription pricing with at least 30 days' advance notice sent to your registered phone number or email address. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

6. User Conduct and Acceptable Use

You agree not to use the Service to:

6A. Forfeiture of Protections — Underage and Predatory Conduct

Notwithstanding any other provision of these Terms or our Privacy Policy, users who are flagged by our safety systems for repeated or egregious attempts to solicit content involving minors — including but not limited to requesting conversation openers, interaction scripts, or any other content targeting or describing individuals under the age of 18 in a sexual, romantic, or otherwise inappropriate context — expressly and irrevocably forfeit the following protections under these Terms and our Privacy Policy:

Flagged records — including the exact content of blocked requests, associated phone numbers, IP metadata, timestamps, and full conversation history — are retained indefinitely and are not subject to any deletion request, legal hold challenge, or data subject access request filed by the flagged user. We will cooperate fully and proactively with any law enforcement investigation or legal proceeding related to flagged conduct involving minors.

By using the Service, you acknowledge that this forfeiture clause is a material term of these Terms, that you have read and understood it, and that it is enforceable to the fullest extent permitted by applicable law.

7. Safety Monitoring and Law Enforcement

CHAD maintains automated safety systems that detect, log, and permanently retain records of requests that trigger content safety filters. These logs include the exact content of the request, the phone number associated with the request, and timestamps. These records are never deleted and may be provided to law enforcement when legally required or when we have a good faith belief that disclosure is necessary to protect the safety of any person. By using the Service, you acknowledge and consent to this monitoring.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. We collect and store your mobile phone number, name, location, gender identity, sexual orientation, relationship preferences, and full message history. Gender identity and sexual orientation are classified as sensitive personal information under California law and are handled with heightened protections as described in our Privacy Policy.

9. Intellectual Property

The Service, including its name, logo, persona, software, design, and all content created by us, is owned by Domus Anguiana LLC and is protected by applicable intellectual property laws. AI-generated content produced in response to your requests is provided for your personal use only. You retain ownership of content you submit to the Service and grant us a limited license to process it for the purpose of providing the Service.

10. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOMUS ANGUIANA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) $50.00.

11. Dispute Resolution

Before initiating any formal dispute, you agree to contact us at hello@chaditup.com and attempt to resolve the dispute informally for at least 30 days. If informal resolution fails, disputes shall be resolved by binding individual arbitration in Los Angeles County, California. You waive any right to participate in a class action lawsuit or class-wide arbitration. These Terms shall be governed by the laws of the State of California.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including if we believe you have violated these Terms. You may terminate your account at any time by replying STOP to any message or contacting us at hello@chaditup.com.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by sending an SMS to your registered number at least 14 days before changes take effect. Your continued use of the Service after
